Chapter 13 - The Offer

Thomas made David an offer.
David would return disputed management fees.
The restaurant group would be independently valued.
Thomas's secured claims would convert into formal equity.
David would retain a substantial minority interest and culinary leadership.
Independent board.
Audits.
No unilateral transfers.
David read it.
“Forty percent?”
“Yes.”
“You want sixty.”
“I’m bringing twenty million of enforceable claims.”
“I built the brand.”
“And I am giving that value recognition.”
David pushed the papers away.
“No.”
Thomas had expected negotiation.
Not rejection.
“What do you want?”
“Control.”
Thomas stared.
David whispered:
“I spent twenty-two years being the man who needed your permission.”
“That's not how I saw it.”
“It doesn't matter.”
Thomas finally understood.
This was not primarily money.
David could accept forty percent and become wealthier than he had ever imagined.
But he would rather risk everything than return to feeling subordinate.
Thomas folded the offer.
“Then we'll let the documents decide.”

David nodded.
That was the point where friendship became litigation.
